Steel Works Due Diligence
KSP prepared a due diligence report of a steel plant based in Sosnowiec for a factoring client with the aim of assessing the legal and tax situation of the enterprise with a view to the planned transaction of settlement of debt by acquisition of 100% of shares in the factory.

Advising on a PPP project for Biskupice Commune
KSP advised on a public-private partnership project of water supply management, i.e. collective water supply services on the premises of Biskupice Commune with maintenance and repair of infrastructure as well as maintenance and repair of school-based sewage treatment facilities, including preparation and conduct of procedure to select the private partner.

KSP provided advice in the course of acquisition of an enterprise. After completion of the purchase, the Law Firm advised on implementation of restructuring programmes, including the transaction of assets sale, employment law and negotiations with trade unions and employee organisations, as well as restructuring of liabilities.

KSP provided legal assistance in the form of preparation of due diligence of the resort of Rabka SA at the request of the Ministry of State Treasury in connection with privatisation of the report. The works were performed for the following companies: Uzdrowisko Horyniec Sp. z o.o., Uzdrowisko Konstancin-Zdrój Sp. z o.o., Uzdrowisko Rabka S.A. and Uzdrowisko Iwonicz S.A. Legal due diligence of the companies’ assets was performed and information memoranda were drawn up.

Legal and tax services to a capital group based on foreign private equity and loans from the banking sector as well as investment funds at all stages of implementation of the projects undertaken by the group.
KSP actively participated in the investment project in such fields as establishing the capital group structure, due diligence of prospective real property before its acquisition, ongoing services of the special purpose vehicles dedicated to accomplish each of the projects, optimise the tax burdens, modelling optimal solutions intended to consolidate real property and change the ownership structure, optimise settlements among the project owners, plan solutions intended to exit the project, etc.

Preparation of an operating model of managing water supply and sewage disposal in Siemianowice Śląskie.
KSP provided advice in the area of developing a model for managing the water supply and sewage disposal in Siemianowice Śląskie taking into account the environmental aspects resulting from the Act of 7 June 2001 on collective water supply and sewage disposal. The Law Firm also helped select the operator in this respect, and prepared draft agreement with the operator on network management, water supply and sewage disposal in Siemianowice Śląskie.
