Restructuring

KSP lawyers pro­vide ad­vice on re­struc­tur­ing, bankrupt­cy and liq­ui­da­tion pro­ceed­ings, both in view of the busi­ness law and tax op­ti­miza­tion. We pro­vide com­pre­hen­sive ser­vices from the mo­ment of iden­ti­fy­ing a prob­lem through con­sult­ing and ne­go­ti­a­tion with debtors and cred­i­tors; we prepare and submit pe­ti­tions for bankrupt­cy on behalf of our clients, as well as requests to se­cure claims on be­half of Clients. 

Ad­di­tion­al­ly, we rep­re­sent par­ties be­fore of­fi­cial re­ceiv­ers, bankrupt­cy trustees, boards of cred­i­tors, in­sol­ven­cy ad­min­is­tra­tors. We pro­vide ad­vice in the fol­low­ing ar­eas: 

• analysis of bankruptcy risk;

• con­clu­sion and ap­proval of com­po­si­tion in bankrupt­cy pro­ceed­ings;

• prepa­ra­tion of debt-re­struc­tur­ing proposals, in par­tic­u­lar: de­fer­ment of performance of obligations, spreading debts into installments, reduction of the sum total of debts;

• con­ver­sion of debts into shares or stocks, change or can­cel­la­tion of a right which secures a debt;

• agree­ing fa­vor­able con­di­tions of re­struc­tur­ing;

• liq­ui­da­tion of the bankrup­t’s as­sets;

• stock taking and as­sess­ment of the bankrup­t’s es­tate, as well as liq­ui­da­tion scheme;

• con­duct­ing re­or­ga­ni­za­tion pro­ceed­ings in case of po­ten­tial in­sol­ven­cy, in par­tic­u­lar pro­vid­ing opin­ion on the re­or­ga­ni­za­tion plan;

• preparation and negotiation of increditor agreements;

• issues of regulating public trading in securities in the context of restructuring.
